Charles,
You might study up on partnerships and corporations. If the workers
own the organizations they are capitalist organizations whether called
co-ops, partnerships, or corporations. If they own the corporation the board
of directors serve at the pleasure of the owners. They probably wouldn't
want to pre-view every decision, that is why they hire the Board of
Directors. As to anyone keeping anything secret from the owners -- they will
attempt that at risk of their job.
Usually the board of directors will be made up from selected members
of the ownership. In brief they will be who ever the owners decide to elect
or appoint to the job that is agreeable. After that the board of directors
will probably hire a few outside director that has some expertise the owners
don't have but which is needed by the corporation.
The big difference between this description and socialism is the ease
of getting out and that elections have to be held. You enter into this
agreement voluntarily and you can leave the same way.
